10 • June 2019 • S I G N & D I G I T A L G R A P H I C S PIA Accepting Award Nominations for This Fall's Annual Meeting The Warrendale, Pennsylvania-based nonprofit Printing Industries of America, an advocacy organization dedicated to the advancement of the graphic communications industries worldwide, is seeking nomina- tions for the Lewis Memorial Lifetime Achievement Award and the Naomi Berber Memorial Award. Established in 1950 and named after industry pioneer Abraham Lewis, The Lewis Memorial Lifetime Achievement Award pays homage to business leaders who have made major, long-term contributions to the graphic arts industry and have been a significant force in shaping the business of printed communi- cations. The award is recognized as the highest honor an individual can win in the graphic arts industry. Nominees should be widely recognized as industry leaders and have a record of participating in local and national professional activities. Both winners will be recognized at Printing Industries of America's fall administrative meeting, which will be November 15-17 in Houston, Texas. Sign-Zone Acquires the Netherlands Promic B.V. Display Systems Brooklyn Center, Minnesota-based Sign-Zone, the parent company of Showdown Displays, Victory Corps and Jansen Display Group, announces its acquisition of the Netherlands-based Promic B.V. Display Systems, a designer and distributor of custom promotional displays. Promic specializes in mobile pre- sentation systems and supporting hardware for products such as retractable banners, beach flags, floor displays and banner stands. According to the Minnesota company, its acquisition enhances Sign-Zone's global footprint and under- scores its commitment to wholesale and reseller trade partners while offering unmatched capabilities on a global basis. "We're very excited to add the Promic brand to our family," says John Bruellman, president and CEO of Sign-Zone. "Promic's company culture, values and focus on impeccable service have established its reputation as a leading provider of display hardware in Europe. This makes them a perfect match for us, and we intend to enhance these capabilities even further." EFI to Be Acquired for Approximately $1.7B Fremont, California-based large-format printer manufacturer EFI announces that it has entered into a definitive agreement to be acquired by an affiliate of New York-based private equity firm Siris Capital Group LLC. The deal is an an-all cash transaction valued at approximately $1.7 billion. Under the terms of the agreement, which has been unanimously approved by EFI's board of directors, an affiliate of Siris will acquire all of the outstanding common stock of EFI for $37 per share in cash. The purchase price represents an approximately 45% premium over EFI's 90-day volume weighted average price ended on April 12, 2019. EFI may solicit alternative acquisition proposals from third parties during a "go-shop" period over the next 45 calendar days. EFI will have the right to terminate the agreement to enter into a superior proposal subject to the terms and conditions of the agreement. "We believe this transaction delivers superior and immediate value to our shareholders while providing us with a partner that can add strategic and operational expertise to our business," says Bill Muir, CEO. "We are excited to partner with Siris' highly experienced team on this next phase of growth for EFI." EDI has also announced its acquisition of Turkey-based and privately held BDR Boya Kimya San.
